Use of the "ILOG" logo ("ILOG Logo") and other ILOG marks, including any proprietary notices placed or displayed on any ILOG product or any portion thereof, ("ILOG Marks") shall encompass any use of the ILOG Logo or ILOG Marks. Any permitted user ("Permitted User") of the ILOG Logo or ILOG Marks shall reproduce all such ILOG Logos and/or ILOG Marks pursuant to the terms and conditions of these ILOG Trademark and Logo Usage Guidelines ("Guidelines"), as may be modified by ILOG from time to time. The Permitted User acknowledges and agrees that the use of the ILOG Logo and the ILOG Marks must conform to the following.

1. Subject to the terms and conditions of these Guidelines, ILOG grants to the Permitted User a limited, nonexclusive, nontransferable, royalty-free, revocable license to use the ILOG Logo and the ILOG Marks solely to fulfill the Permitted User's rights or obligations to label the ILOG products, or to label a software application or applications in which one or more ILOG products is an embedded component, and/or to market and promote the ILOG products pursuant to an agreement with ILOG.

2. The Permitted User agrees that it shall not remove, alter, cover or obscure rights notices in any ILOG software reproduced and distributed by the Permitted User.

3. In every use of the ILOG Logo and ILOG Marks, the Permitted User shall give notice to the public that the ILOG Logo or ILOG Mark is a trademark by using the letters "TM" as a superscript for all of the ILOG Logos or ILOG Marks, with the exception of the ILOG Marks "ILOG" and "CPLEX" which shall be denoted by use of the trademark registration symbol "�" (the capital letter R enclosed in a circle) as a superscript after "ILOG" or "CPLEX". ILOG shall inform Permitted Users of any change in the form of notice to be used.

4. ILOG's ownership of the ILOG Logo and ILOG Marks shall be indicated whenever used by the Permitted User, whether use is on a start up screen in a software application or on descriptive, instructional, promotional, packaging, or other material, by the statement "(ILOG Logo or ILOG Mark, as applicable) is a trademark of ILOG S.A."or such other form as ILOG may specify in order to comply with any applicable legal requirements.

5. Use of the ILOG Logo and/or ILOG Marks shall always be in accordance with such legal standards as now exist or may hereafter be established for the protection of intellectual property rights.

6. Upon request from ILOG, any packaging, advertisement, or literature produced for or by the Permitted User which uses the ILOG Logo or an ILOG Mark must be submitted in at least layout format to ILOG. ILOG reserves the right to approve, disapprove, or make suggested revisions to the actual or proposed usage.

7. The Permitted User agrees that all products and services which bear any ILOG Logo or ILOG Mark will be of high quality in design, material, and workmanship.

8. All rights granted herein will revert to ILOG upon termination of any agreement between thePermitted User and ILOG. Also, upon termination, the Permitted User will, at ILOG's request, return to ILOG or destroy all materials using the ILOG Logo or ILOG Mark and thereafter will not use the ILOG Logo or ILOG Mark in any form, unless ILOG has approved of such use in writing.

9. The Permitted User agrees to notify ILOG promptly, in writing, of any adverse or unauthorized use of the ILOG Logo or of an ILOG Mark or any claim or problem with respect to the protection of the ILOG Logo and ILOG Mark of which the Permitted User is or becomes aware. The Permitted User shall not at any time apply for any registration of any copyright, trademark, trade name, service mark or other designation nor file any document with any governmental authority to take any action which might adversely affect ILOG's ownership of the ILOG Logo or ILOG Marks.

10. The Permitted User acknowledges and agrees that ILOG owns the ILOG Logo and ILOG Marks, and that any goodwill derived from the use of the ILOG Logo and/or ILOG Marks inures to the benefit of ILOG. The Permitted User recognizes ILOG's exclusive right to use the ILOG Logo and ILOG Marks set forth herein.
